Metanoia Leadership Ltd is a leadership and adult development firm, whose registered office is at First Floor, Lipton House, Stanbridge Road, Leighton Buzzard, Bedfordshire, LU7 4QQ, (UK). Metanoia Leadership organises transformative programs for organisations and individuals with the power of self-awareness.

These general terms and conditions (hereinafter referred to as the “GTC”) apply to all programs and events organised by Metanoia Leadership. 
 

1. CONCLUSION OF THE CONTRACT: Registration can be made in writing or online via the Metanoia Leadership or SAT Germany France website. When an application is done online, the sender receives a copy of his/her registration data and an individual confirmation link at the e-mail address provided. The participant´s registration does not yet constitute the conclusion of a contract. The contract shall only be concluded upon written confirmation of the registration by Metanoia Leadership.
 

2. EXECUTION OF THE CONTRACT: The contract will be performed by holding the program. Metanoia Leadership reserves the right to cancel programs up to 14 days before the scheduled date if the minimum number of participants is not reached. If the event is cancelled for this reason or – even later – due to justified absence of the program facilitator, force majeure, official directives or other unforeseeable events for which Metanoia Leadership is not responsible, Metanoia Leadership shall not be obliged to maintain the program. It undertakes to inform the participants immediately in writing. If the program facilitator is unable to attend, Metanoia Leadership reserves the right to substitute with a facilitator of equal value. In this case, there is no right to reimbursement of the participation fee.
 

3. CANCELLATION: In the event of cancellation of the program, Metanoia Leadership will attempt to re-register the participant for another program date, provided that the participant agrees to this. Otherwise, the program fee already paid will be refunded in full. If a cancellation occurs during the program for any of the above reasons, only a pro rata refund will be made. Any further claims by the participant, in particular claims for damages of any kind which do not concern injury to life, body or health, are excluded, except in the case of intentional or grossly negligent behaviour by employees or members of Metanoia Leadership team. This also applies to vain expenses (e.g. for booked hotel rooms, flight or train tickets). In all other respects, the provisions of the ‘Liability’ section shall apply.
 

4. CONTENT OF THE PROGRAM: The content and execution of the respective program is governed by the respective course programme which forms an integral part of this contract. Metanoia Leadership reserves the right to modify the content of certain programs for technical reasons without the agreement of the participant if this does not affect the core of the agreed program.m.

5. LIMITATION OF LIABILITY: The following limitations of liability do not apply to damage caused by gross negligence, wilful misconduct or loss of life, physical injury or impairment to health. Metanoia Leadership shall only be liable for other damages if they are based on intentional acts or grossly negligent acts or on the culpable breach of an essential contractual obligation by Metanoia Leadership and/or members of its team. Any further liability for damages is excluded, including liability for damages of any kind due to a participant´s failure to observe or follow the basic ground rules, to the extent permitted by law. Pre-contractual liability is not applicable. Metanoia Leadership is not liable for damage caused by accidents and/or the loss or theft of objects brought into the working rooms/program premises, in particular cloakroom items or valuable objects.
 

6. RESPONSIBILITY AND AUTONOMY OF THE PROGRAM PARTICIPANT: By registering, each participant affirms that he/she assumes full responsibility for his/her actions. He/she agrees to provide truthful information about any physical or psychological problems prior to the event. If the participant is undergoing medical or psychotherapeutic treatment, we reserve the right to request the consent of the practitioner to participate in the desired program. We reserve the right to exclude participants from further participation in justified cases and in accordance with the basic therapeutic ground rules, in which case the participation fee will not be refunded.
 

7. PAYMENT TERMS: The program fee includes all services described in the offer or in the program registration confirmation. When registering for a program, a reservation fee of the amount indicated on the website is due. Metanoia Leadership will then, where appropriate, approve the registration. At this stage, the reservation fee becomes a deposit of the program fee. The remaining amount is due no later than 60 days before the start of the program. No reservation fee is charged for free informative online courses.
 

8. CANCELLATION: Cancellation of the contract is possible at any time in text form. To meet the deadline, the cancellation notice must be received by Metanoia Leadership in writing by e-mail.  If the participant withdraws from the program after the confirmation of registration and the expiry of the withdrawal period, Metanoia Leadership will refund the deposit by applying a deduction of €70 for file processing costs up to 4 weeks before the start of the course. From 4 weeks before the start of the course, 50% of the participation fee will be charged, from one week before the start of the course 100% of the participation fee will be charged.  If the participant does not attend the event, the full participation fee will be charged.  For online courses, cancellations can be made free of charge up to 2 weeks before the event date. In the event of later cancellation, the full price will be charged.
 

9. INTELLECTUAL PROPERTY: All working documents issued are protected by copyright owned by SAT Germany France. Metanoia Leadership reserves all rights, including translation, reprinting and reproduction of the documents or parts of the Greek translation of the documents. They are made available exclusively to the participants of a program. All documents, including extracts, may not be reproduced, processed, copied, distributed, or used for public reproduction in any form without the written permission of SAT Germany France and Metanoia Leadership.
 

10. CONFIDENTIALITY: The participant expressly undertakes to respect the confidentiality of the personal data and the experiences of the other participants on the program. During a program, no photographs or video or audio recordings may be taken and published in any way whatsoever without the express consent of Metanoia Leadership and the participants concerned. The use of participant contacts details in any way whatsoever without the express consent of Metanoia Leadership and the persons concerned is prohibited.
 

11. ADDITIONAL COSTS: The registration fees indicated for in-person programs cover the net costs of the program. Accommodation and catering costs are not included in Metanoia’s Leadership fee. If participation in the program involves accommodation and catering, the participant must pay for this himself/herself.
 

12. RESERVATION OF ACCOMMODATION AND CATERING: Programs take place in different venues. With the conclusion of the contract, the participant entrusts Metanoia Leadership with the reservation of accommodation in his/her name and on his/her behalf. Metanoia Leadership forwards the accommodation request to the venue and endeavours to meet the accommodation request of the participants but does not guarantee the first choice. The participant pays the invoice for accommodation and meals directly to the venue concerned. In the event of withdrawal or early departure, the participant is responsible for the cancellation costs.
 

13. FINAL PROVISIONS: These conditions of participation contain all the rights and obligations of the contracting parties. If one of these provisions is invalid, this shall not affect the validity of the other provisions. In the event of a dispute arising between the participant and Metanoia Leadership, an amicable solution will be sought. This contract will be governed by and interpreted under the laws of the United Kingdom.
